CIS Manager is a platform operated by Sodium Software Ltd (“we”, “us”, “our”).
These Terms of Service (“Terms”) govern your use of the CIS Manager platform, available via www.cismanager.com (“Website”), and any related services.

By using CIS Manager, you agree to be bound by these Terms.

2. Eligibility & Account Creation

There are no strict age or business-type restrictions; however, this service is intended solely for genuine business use, particularly those engaging with the Construction Industry Scheme (CIS). You are responsible for maintaining the security of your account credentials and all activities conducted through your account.


3. User Responsibilities

By using CIS Manager, you agree:

  • To ensure the accuracy of all data you input, including subcontractor and supplier information.
  • That you are responsible for all activity conducted through your account.
  • That account access may be shared, but only with trusted individuals acting on your behalf.

4. Services, Subscription & Payment

We offer both free and paid services. Pricing, features, and availability of all services are subject to change without notice.

  • Billing Frequency: Depends on the plan selected by the user.
  • Refunds: We do not offer refunds.
  • Failed Payments: If a payment fails, we will retry and contact you if the issue persists. Continued non-payment may result in suspension.

5. Suspension & Termination

You may cancel your account at any time.

We reserve the right to suspend or terminate your account without notice if:

  • There is non-payment for a paid service.
  • We detect suspicious activity or a breach of these Terms.

6. Acceptable Use

You agree not to:

  • Use the service for unlawful activities
  • Attempt to reverse engineer, copy, or decompile the platform
  • Use it for spamming, abuse, or unsolicited contact
  • Scrape, crawl, or use bots/automated tools to access the site, unless using the authorised API

7. Data & Privacy

As a data processor, we process personal data on your behalf in accordance with our Privacy Policy and, where applicable, our Data Processing Agreement (DPA).

You are responsible for ensuring your use of CIS Manager complies with applicable data protection laws, including the UK GDPR.


8. Service Availability & Support

We aim to provide uninterrupted access but do not guarantee availability. We may suspend the service for maintenance, upgrades, or in case of technical issues.

Limited support is available via email during UK business hours.


9. Limitation of Liability

To the fullest extent permitted by law:

  • We shall not be liable for indirect, incidental, or consequential damages, including loss of data or profits.
  • Our total liability shall not exceed the amount you paid to us (if any) in the previous 12 months.

10. Changes to the Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-app notice. Continued use of the platform after such updates constitutes your acceptance of the revised Terms.


11. Governing Law

These Terms shall be governed by and interpreted under the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
